The future looks uncertain at Newlands School in Seaford where owner Beaconhouse Educational Services has given the school notice it may close at the end of the academic year.
But head teacher Tula Dyer said there was interest from potential new investors with a profile of owning other UK boarding schools.
A parent forum called the Newlands School Development group (NSDG) was set up to ensure the continuation of the education of the pupils.
Mrs Dyer said the school was operating as normal and children continued to receive a good education in a supportive environment.
Seaford MP Norman Baker said every effort must be made to keep the school open, but added it was clear the private school, based in Eastbourne Road, was in difficulties.
